Welcome to iSPACE. These Terms of Service ("Terms") govern your access to and use of the services, websites, and applications provided by iSPACE ΙΔΙΩΤΙΚΗ ΚΕΦΑΛΑΙΟΥΧΙΚΗ ΕΤΑΙΡΙΑ (iSPACE I.K.E.), a company registered in Greece with headquarters at Mavromichali 95-97, Athens, 11472 (VAT: 802263020, DOY: KEFODE ATTIKIS), contactable at +30 210 3008099 or info@i-space.gr, hereinafter referred to as "the Company", "we", "us", or "our".
By executing an agreement, paying an invoice, or logging into the iSPACE Panel, you ("the Client") agree to be bound by these Terms. All services provided by iSPACE are strictly Business-to-Business (B2B). The Client acknowledges that they are acting in their commercial or professional capacity. Consequently, standard consumer protection regulations (such as the 14-day right of withdrawal for online consumer purchases) do not apply to this agreement.
2.1 Ownership of Raw Data: The Company retains full and exclusive copyright and intellectual property rights over all raw photographic data, point clouds, photogrammetry scans, and final compiled 3D models (Virtual Tours, iModels) generated during the scanning process.
2.2 License Grant: Upon full payment of the setup fee, the Client is granted a limited, non-exclusive, non-transferable license to use, display, and embed the final deliverables (Virtual Tours, AR links) solely for the purpose of promoting their own business across their websites, social media, and printed materials.
2.3 Restrictions: The Client is strictly prohibited from reselling, sublicensing, or transferring the 3D assets to any third party (e.g., a competing business or real estate agency) without prior written consent from iSPACE I.K.E.
3.1 Prohibited Actions: The Client agrees not to (and not to allow any third party to): (a) copy, modify, or create derivative works based on the iSPACE platform, algorithms, or system prompts; (b) reverse engineer, decompile, or disassemble any aspect of the Service; (c) extract or scrape data using automated bots, spiders, or crawlers.
3.2 Prompt Injection & Security: Any attempt to bypass AI safety guardrails, inject malicious prompts, or utilize the iSPACE AI API for purposes other than the Client's standard business customer support is strictly prohibited and constitutes grounds for immediate termination.
The Client is solely responsible for maintaining the confidentiality of their login credentials (passwords, tokens) used to access the iSPACE AI Panel and any associated dashboards.
iSPACE I.K.E. shall not be liable for any unauthorized access, data breach, or unauthorized modification of AI configurations (e.g., pricing rules, knowledge base updates) resulting from the Client's failure to secure their credentials. The Client must notify iSPACE immediately upon discovering any security breach.
5.1 Nature of AI: The iSPACE Enterprise AI Assistant utilizes advanced Large Language Models (LLMs). While we deploy strict grounding protocols and custom system prompts to ensure the AI strictly adheres to the knowledge base (PDFs, URLs) provided by the Client, artificial intelligence is inherently probabilistic.
5.2 Disclaimer of Accuracy: Any marketing claims referring to "0% Hallucinations" represent strict architectural goals, not legal guarantees. iSPACE does not guarantee that the AI will be 100% error-free or that it will never produce factually incorrect statements. It is the Client's responsibility to monitor the AI conversations via the iSPACE Panel.
5.3 Limitation of Liability: Under no circumstances shall iSPACE I.K.E. be held liable for any direct, indirect, incidental, or consequential financial damages arising from the use of the AI Assistant. This includes, but is not limited to, the AI offering an incorrect discount, stating the wrong price for a room/product, or misinterpreting a cancellation policy to a guest.
The iReviews system relies on routing users to third-party review platforms (e.g., Google My Business, TripAdvisor). These platforms are governed by their own terms of service and algorithms.
iSPACE does not control these platforms. If a third-party provider updates their API, changes their review gating policies, or restricts our ability to direct traffic to their platform, iSPACE shall not be held liable for any disruption to the iReviews service, nor shall it constitute grounds for a refund.
7.1 Setup Fees: Due to the highly customized nature of our services (on-site physical scanning, manual coding, 3D modeling, and AI configuration), all initial setup fees and down payments are strictly non-refundable once the project commencement has begun.
7.2 Subscriptions & Auto-Renewal: Services such as Virtual Tour hosting and the AI Assistant operate on a subscription basis (monthly or annually). These subscriptions will automatically renew at the end of each billing cycle to ensure uninterrupted service.
7.3 Cancellation Policy: The Client may cancel their subscription at any time. However, to prevent the next billing charge, written notice (via email to info@i-space.gr) must be provided at least thirty (30) days prior to the renewal date. Late payments may result in the immediate suspension of services and offline status of the 3D tours/AI widget.
8.1 Roles: In the context of the General Data Protection Regulation (GDPR), concerning any personal data (e.g., emails, names) collected by the AI Assistant from end-users, the Client acts as the Data Controller, and iSPACE acts as the Data Processor.
8.2 Compliance: iSPACE commits to processing personal data solely for the purpose of providing the agreed services, implementing appropriate technical and organizational security measures, and not utilizing end-user data for our own direct marketing purposes.
The Client agrees to indemnify, defend, and hold harmless iSPACE I.K.E., its directors, officers, employees, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) the Client's access to or use of the Services; (b) the Client's violation of these Terms; or (c) any claim that the documents, PDFs, or URLs provided by the Client for AI training infringe upon the intellectual property or privacy rights of a third party.
The Services are provided on an "AS-IS" and "AS-AVAILABLE" basis. To the maximum extent permitted by applicable law, iSPACE I.K.E. expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Services will meet the Client's specific requirements, that the operation of the Services will be uninterrupted or error-free, or that defects in the Services will be corrected.
iSPACE reserves the right to immediately suspend or terminate the Client's access to the Services, without prior notice or liability, for any reason whatsoever, including without limitation if the Client breaches these Terms or fails to process subscription payments.
Upon termination, the Client's right to use the AI Panel, 3D Tours, and other associated services will immediately cease. Sections relating to Intellectual Property, Liability Limitation, and Indemnification shall survive termination.
12.1 SLA & Upstream Providers: Our software infrastructure is hosted on enterprise-grade servers (primarily Amazon Web Services) to ensure maximum speed and reliability. We aim for an uptime of 99.9%. However, iSPACE relies on third-party APIs (e.g., OpenAI, Anthropic). We shall not be held liable for any downtime caused by global server outages of these upstream providers.
12.2 Force Majeure: Neither party shall be liable for any failure or delay in performance under these Terms (other than for delay in the payment of money due and payable hereunder) for causes beyond that party's reasonable control, including, but not limited to, acts of God, acts of government, flood, fire, civil unrest, acts of terror, strikes, or state-level cyberattacks.
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of Greece, without regard to its conflict of law provisions.
Any dispute, controversy, or claim arising out of or relating to this agreement, its interpretation, execution, or termination, shall be subject to the exclusive jurisdiction of the competent courts of Athens, Greece.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force, effect, and enforceability.
